Terms of use
Welcome to High 5 Web Design (“Company,” “we,” “us,” or “our”). These Terms and Conditions govern your use of our services, including Website Creation, Google and Facebook Ads Management, Search Engine Optimization (SEO), and Reputation Management.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Definitions
- “Client” refers to any individual or entity who engages with us for the services listed herein.
- “Deliverables” are the outcomes and materials provided to the Client.
- “Services” refer to the specific tasks we agree to perform as outlined in this agreement.
- “Third-Party Platforms” include, but are not limited to, Google, Facebook, and review platforms (e.g., Yelp, Google Reviews).
2. Scope of Services
A. Website Creation
- We design and develop websites according to Client specifications.
- A project timeline, cost, and milestones will be agreed upon prior to the start of work.
- Revisions: Up to [3] revisions a month are included. Additional revisions will incur an additional charge.
- Hosting & Maintenance: Hosting and ongoing maintenance are included.
- Content: The Client must provide website content (text, images, videos, etc.), unless agreed otherwise.
B. Google & Facebook Ads Management
- We create, manage, and optimize Google Ads and Facebook Ads campaigns on behalf of the Client.
- Ad budgets are separate and paid directly to the respective platforms (Google/Facebook).
- Our management fee does not include ad spend.
- We provide performance reports at intervals agreed upon with the Client.
- The Client agrees to comply with platform policies.
C. Search Engine Optimization (SEO)
- We provide on-page, off-page, and technical SEO services to improve website visibility.
- SEO results depend on several external factors; therefore, we do not guarantee specific rankings or traffic results.
- Any changes made to the website by the Client after SEO work is performed may negatively impact performance.
- Reports and analytics will be shared periodically.
D. Reputation Management
- We monitor and manage the Client’s online reputation on designated platforms.
- Services include increasing the number and quality of reviews for your business.
- While we strive to address negative content effectively, we cannot guarantee removal of all unfavorable material and it is up to the client to address these issues with their customers.
3. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information necessary to perform the services.
- Respond to communications, feedback, and requests in a timely manner.
- Approve deliverables, budgets, and other requests as required for service continuation.
- Adhere to third-party platform guidelines (e.g., Google Ads, Facebook Ads).
- Maintain appropriate access credentials and grant necessary access for us to perform the services.
4. Fees and Payments
- Fees for each service will be outlined in the proposal or invoice.
- Payment terms: Full payment upfront is required to begin services.
- Late payments will incur a penalty of [insert 1%] per month.
- Ad spend (Google Ads, Facebook Ads) must be prepaid or paid directly to the platform.
- If additional work outside the agreed scope arises, we will issue a Change Order for Client approval.
5. Intellectual Property
- Website Content & Design: Upon full payment, ownership of the final website deliverables transfers to the Client. This only applies if the client does not opt into High 5 Web Designs hosting & maintenance services.
- Ads Campaigns: The assets created (e.g., images, videos, ad copy) remain our property until full payment.
- Any pre-existing intellectual property (e.g., templates, tools, software) remains our property.
6. Confidentiality
Both parties agree to keep any confidential or proprietary information received from the other party secure and not disclose it to third parties without written consent.
7. Limitation of Liability
- We are not responsible for losses resulting from the use of third-party platforms, including account suspensions or changes in algorithms or policies.
- Our liability is limited to the amount the Client has paid for services within the last three (3) months.
- We are not liable for consequential, indirect, or incidental damages.
8. Dispute Resolution
In the event of a dispute, both parties agree to attempt mediation before pursuing legal action.
9. Termination
- Either party may terminate this agreement with a [insert notice period, e.g., 60 days] written notice.
- Fees for work completed up to the termination date will remain payable.
- Any prepaid fees will not be refunded unless otherwise stated.
10. Force Majeure
We are not liable for delays or failure to perform services due to causes beyond our reasonable control, including natural disasters, platform outages, or other unforeseen events.
11. Amendments
We reserve the right to amend these Terms and Conditions at any time. Updated terms will be posted on our website and shared with Clients.
12. Governing Law
These Terms and Conditions are governed by the laws of Utah.
